Terms of Service

These terms govern your use of AcquireScout. Please read them — section 3 in particular, which sets out what this service is and, just as importantly, what it is not.

1. The service

AcquireScout is an acquisition-research tool. It matches and scores UK companies against acquisition criteria you define (a “Buy Box”), using company data published on the UK Companies House register, and provides research workflow tools — watchlists, a deal pipeline, diligence checklists, comparison, and investment memos.

2. Accounts and organizations

You need an account to use the service. You are responsible for keeping your credentials secure and for activity under your account. Your data belongs to an organization — a workspace that may have multiple members, each with a role (owner, admin, or member) that determines what they can do.

Anyone you invite to your organization can see that organization's data: its Buy Boxes, watchlists, pipeline, notes, documents, and memos. Invite accordingly.

You may close your account at any time from Settings → Account. You can also export your data there before you do.

3. What this service is not

AcquireScout provides research and intelligence. It does not provide investment advice, legal advice, tax advice, or any financial guarantee.

Nothing in the product — no score, match, signal, ranking, memo, or AI-generated explanation — is a recommendation to buy, sell, or invest in anything, or an opinion on whether any transaction is suitable for you. We are not your adviser, broker, or fiduciary, and no regulated advice is being given.

A fit score measures how well a company matches criteria you chose. It is not a measure of a company's quality, value, solvency, or prospects, and a high score is not a signal that an acquisition is a good idea.

4. Data accuracy and sources

Company data comes from the UK Companies House public register. We reproduce and organise it; we do not verify it, and we cannot correct it. Companies House data can be incomplete, out of date, or wrong at source — filings are self-reported by the companies themselves.

Financial figures are extracted automatically from filed iXBRL/XBRL accounts. The product shows the provenance and a confidence level for extracted figures, and marks missing data as unknown rather than guessing or substituting zero. Extraction can still be imperfect. Verify any figure against the filed accounts before relying on it.

Data is synchronised periodically, not in real time. What you see may lag the register. The product shows data freshness where it matters.

5. AI-generated content

Some parts of the product use an AI model to write explanations in natural language — for example “Why This Company?”, investment-memo drafts, diligence question wording, and the research assistants.

AI is used only to explain results that a deterministic engine has already computed. It cannot calculate or alter a score, an eligibility decision, a financial figure, or a signal's severity — that separation is enforced in the software itself, not merely as policy.

AI-generated text can still be wrong, incomplete, or misleading. Verify it independently before relying on it. Do not treat it as advice.

6. Acceptable use

You must not:

  • break the law, or use the service to harass, defame, or harm anyone;
  • attempt to access another organization's data, or probe, scan, or test the security of the service without written permission;
  • scrape, bulk-extract, or resell the data or the service, or use it to build a competing product;
  • upload anything to a Deal Room or notes that you don't have the right to share, including confidential information you are not permitted to disclose;
  • circumvent plan limits, rate limits, or entitlement checks, or place unreasonable load on the service or on the upstream Companies House API.

We may suspend or close accounts that do these things, and may do so without notice where there is a risk to the service or to other users.

7. Your content

Notes, documents, Buy Boxes, and anything else you put into the service remain yours. You grant us only the permission needed to operate the service for you — to store, process, and display that content back to you and to the other members of your organization.

You are responsible for having the right to upload what you upload, and for not uploading personal data you have no lawful basis to hold.

8. Plans, billing, and changes

Paid plans are not yet available. While that remains true, the service is provided free of charge, and no payment terms apply.

When paid plans launch, payment will be handled by Stripe, subject to Stripe's own terms; we do not receive or store your card details. Subscriptions will renew automatically until cancelled, and cancelling will stop future renewals rather than refunding the period already paid for, except where the law requires otherwise. The specific prices, limits, and billing terms in force at the time will be shown before you pay.

We may change these terms. If a change materially affects you, we'll make that clear rather than quietly editing this page — the “last updated” date above always reflects the current version.

9. Availability

The service is provided as-is and as-available. We do not promise it will be uninterrupted, error-free, or that data will always be current — it depends on third-party services, including Companies House and our hosting and database providers, that we do not control.

The service is still early. Features may change or be withdrawn, and we may impose or adjust limits to keep it running for everyone.

10. Liability

To the fullest extent the law allows, we are not liable for any investment, acquisition, or business decision you make, for any loss of profit, revenue, data, or opportunity, or for any indirect or consequential loss — however it arises, and whether or not we were told it was possible.

Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

11. Governing law

These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction over any dispute arising from them.
